1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BillAI ("we," "us," or "our") governing your access to and use of BillAI, including any related websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you affirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BillAI is a personal bill tracking and comparison tool that allows users to:

• Track recurring bills, subscriptions, and utility expenses
• Compare bill amounts to regional benchmark data aggregated by ZIP code and category
• Receive automated alerts when bills increase or exceed regional norms
• Access negotiation scripts and savings guidance
• Receive optional weekly email digests summarizing bill activity

BillAI is a personal finance information tool only. It is not a bank, financial institution, insurance company, financial advisor, or bill-negotiation service. All comparison data and savings estimates are provided for informational purposes only and do not constitute financial advice.

3. User Accounts

To access certain features of the Service you must register for an account. When creating an account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and not share it with others
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not create more than one account per individual or use automated methods to create accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

You may delete your account and all associated data at any time from the Settings page. Upon deletion, your data will be permanently removed from our systems within a reasonable period.

4. Subscription Plans and Billing

BillAI offers the following subscription tiers:

All paid subscriptions are billed on a recurring monthly basis through Stripe, Inc. ("Stripe"). By subscribing, you authorize us to charge your payment method on file each month until you cancel. Prices are in USD and are subject to change with 30 days' notice.

Cancellation. You may cancel your subscription at any time through the Settings page or by contacting us. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date. We do not issue partial refunds for unused portions of a billing period.

Refunds. If you believe you were charged in error, contact us within 30 days of the charge. We will review refund requests on a case-by-case basis.

We never store or have access to your full credit card number. All payment processing is handled directly by Stripe and is subject to Stripe's own Terms of Service and Privacy Policy.

5. Data Storage and Privacy

Your bill data — including amounts, provider names, and account settings — is stored on our secure servers. We do not sell or share your personal data with third parties except as described below.

Information transmitted to our servers:

• ZIP code and bill category (anonymized, used for regional comparisons)
• Your email address, if provided (used only for optional email digests)
• Payment information processed by Stripe (we never see your card number)
• Usage data and error logs for service improvement

6. Email Communications

By providing an email address, you consent to receive:

• A weekly bill digest summarizing your spending and alerts (opt-in, enabled by default)
• Transactional emails related to your account, subscription, or security

You may opt out of the weekly digest at any time in Settings → Account → Email Digest, or by clicking the unsubscribe link in any digest email. Transactional emails (e.g., payment confirmations) cannot be opted out of while you maintain an active paid subscription. We will never send your email address to third parties or use it for purposes other than those described herein.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Engage in any automated scraping, crawling, or bulk data collection
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Transmit any malicious code, viruses, or disruptive data
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service for any commercial purpose without our prior written consent

Violation of these restrictions may result in immediate termination of your account and, where appropriate, legal action.

8. Intellectual Property

The Service and all of its content, features, and functionality — including but not limited to software, text, graphics, logos, and data — are owned by BillAI or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code, without our prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Regional comparison data is accurate or complete for your specific location
• Savings estimates will be achievable in your specific circumstances
• The Service will meet your specific requirements

BillAI is not a licensed financial advisor. Nothing in the Service constitutes financial, legal, tax, or investment advice. Always verify savings estimates and negotiate independently before making financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BILLAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the three (3) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BillAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or prominent notice within the Service. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which BillAI is incorporated, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BillAI regarding your use of the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce that provision in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
